Executive Assistant Terms

IMPORTANT - PLEASE READ CAREFULLY
These Executive Assistant Terms ("Assistant Terms") are part of, and are incorporated into, the Clients.ai Terms of Service (the "Terms") between you and KC Meta Ventures, Inc. ("Clients.ai," "we," "us," or "our"). They cover your use of the Clients.ai executive assistant (the "assistant"). Capitalized words not defined here have the meaning given in the Terms. Where these Assistant Terms speak more specifically about the assistant, they apply; otherwise the Terms control. By using the assistant through any channel, you agree to these Assistant Terms. IF YOU DO NOT AGREE, DO NOT USE THE ASSISTANT.
1. What the Assistant Is
The assistant is an AI executive assistant for your Clients.ai account. It acts on your instructions. It can answer questions about your account, your agents, your leads and your calendar; change what your agents do in the same way the dashboard does; and write and send messages and emails in your name.
You can reach it inside the Clients.ai app and, where we offer them, by email, text message (including iMessage), WhatsApp and LinkedIn (each a "Channel"). Which Channels are available can change, and a Channel may not offer everything the app does.
2. Your Channels Are You
2.1 Instructions We Treat as Yours
We treat an instruction as coming from you, and the assistant may act on it, when it arrives from:
- the Clients.ai app while you are signed in to your account;
- the email address on your account; or
- a phone number, messaging account or LinkedIn account linked to your Clients.ai account.
You are responsible for every instruction sent from these, including one sent by someone else using your phone, mailbox or accounts, until you tell us it is no longer yours or unlink it.
2.2 Keeping Them Secure
You agree to keep your devices, phone numbers, mailboxes and connected accounts secure. If one is lost, shared, compromised or changes hands, unlink it or tell us right away at hi@clients.ai. We are not responsible for anything the assistant does on an instruction that came from one of your Channels before you told us.
3. The App Is the Most Secure Place
Messaging Channels are a convenience. Email and text messages can be spoofed, forwarded, read on a shared or unlocked device, delayed or lost, in ways neither you nor we control. The signed-in Clients.ai app is the most secure way to work with the assistant.
We recommend that you use the app for anything sensitive, including billing and plan changes, account and login changes, connecting or disconnecting accounts, and deleting anything. Do not send passwords, full card numbers or one-time codes to the assistant through any Channel.
For your protection, we may ask you to confirm an instruction in the app, ask you a question before acting, or decline an instruction we cannot confirm came from you. Choosing to give an instruction through a messaging Channel rather than the app is your decision, and you accept the risks that come with it.
4. Acting on Your Behalf
4.1 Your Authorization
You authorize the assistant to send messages and emails in your name from your connected LinkedIn, Instagram, mailbox and other accounts, and to change your account settings, when you instruct it to. The assistant usually shows you what it will send and sends once you say yes. Your instruction, or your yes, is your authorization.
4.2 Your Responsibility
Messages the assistant sends for you are your messages, as if you had sent them yourself. You are responsible for their content and for following the rules of each platform you use and the laws that apply to your outreach, including email, texting, telemarketing, anti-spam and privacy laws where you and your recipients are located. Section 5A of the Terms (third-party platform terms and account bans) applies in full to anything the assistant does on your accounts.
5. Copies, Groups and People You Add
Anyone you copy on an email, add to a group conversation, or forward a thread to can see the assistant's replies there, which may include details about your account that you asked about. You decide who is on a thread. We are not responsible for what someone you added sees or does with it.
6. AI Can Get Things Wrong
The assistant is AI. It can misunderstand an instruction, make a mistake, or act on an instruction you did not mean. Please check what it does. It tells you when it changes something, and the Activity page in the app shows what was sent. Many changes can be undone by asking, but a message that has already been sent cannot be taken back.
To the fullest extent permitted by applicable law, Sections 5, 6 and 7 of the Terms (including the disclaimer of liability for AI agent activity and outputs, the disclaimer of warranties and the limitation of liability) apply in full to the assistant, to everything it does on an instruction received through any Channel, and to anything done on an instruction from one of your Channels that you did not send. Nothing in these Assistant Terms limits a right you have under a law that cannot be waived.
7. ASSUMPTION OF RISK, RELEASE AND INDEMNITY
7.1 Assumption of Risk
YOU USE THE ASSISTANT AT YOUR OWN RISK. You assume all risk arising from instructions given through any Channel, from messages and changes made on your instructions, from anyone with access to your devices, numbers, mailboxes or accounts, from people you copy or add to a thread, and from the failure, delay, interception or misdelivery of any message by any carrier or platform.
7.2 Release
To the fullest extent permitted by applicable law, you release Clients.ai and the Released Parties (as defined in Section 7.1 of the Terms) from all claims, losses and liabilities arising from or relating to the assistant, including its acting on an instruction from one of your Channels, its misunderstanding of an instruction, any message sent or not sent, any setting changed, and any consequence of your choosing a messaging Channel over the app.
7.3 Indemnification
You will defend, indemnify and hold harmless Clients.ai and the Released Parties from all claims, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising from your use of the assistant, messages sent on your instructions or from your accounts, your breach of these Assistant Terms or any platform or carrier terms, and any violation of email, texting, telemarketing, anti-spam or privacy law. Section 8 of the Terms applies in full.
7.4 Cap on Liability
Any liability of Clients.ai relating to the assistant is subject to, and counts toward, the cap in Section 7.3 of the Terms, and Clients.ai is never liable for indirect, incidental, special, consequential or punitive damages, as provided in Section 7.2 of the Terms.
8. Channel Terms
- Your use of each Channel is also subject to the terms of its provider, including your mobile carrier, Apple, Meta (WhatsApp and Instagram), Google and LinkedIn.
- Message and data rates from your carrier may apply.
- Delivery is not guaranteed. Messages can be delayed, filtered or fail, and the assistant may not reply right away.
- If you would rather not receive texts from us, tell the assistant or email hi@clients.ai and we will stop.
9. Your Data
To do what you ask, the messages you send the assistant and its replies are processed by us and by our AI and messaging providers, as described in our Privacy Policy and Sub-processors list. Data from a connected Google account is handled under Section 10B of the Terms.
10. Pausing a Channel
We may pause the assistant on any Channel, limit what it will do there, or ask you to use the app instead, if something looks wrong, such as unusual activity, a number or address that may no longer be yours, or suspected misuse. Section 12 of the Terms continues to apply.
11. Changes
We may update these Assistant Terms from time to time, as described in Section 1.4 of the Terms. Using the assistant after an update means you accept it.
12. Disputes and Survival
Any dispute relating to the assistant is governed by Sections 18 (Mandatory Binding Arbitration), 19 (Governing Law), 20 (Class Action Waiver) and 21 (Jury Trial Waiver) of the Terms. Sections 2.1, 4.2, 6, 7 and 12 of these Assistant Terms survive any termination of your account or of your use of the assistant. If any part of these Assistant Terms is held unenforceable, it is enforced to the maximum extent permitted and the rest remains in effect, as provided in Section 22 of the Terms.
